Elon Musk Moves Neuralink Incorporation to Nevada Amid Legal Battles

Tech mogul Elon Musk has relocated the incorporation of his brain implant company, Neuralink Corp., from Delaware to Nevada, a strategic move following legal setbacks in the former state.

The transition, finalized on Thursday according to Nevada’s secretary of state, comes in the wake of a Delaware court’s ruling against Musk’s $55 billion pay package for Tesla Inc. In response, Musk, who also owns the social network X, advised against incorporating in Delaware through a post on the platform.

Shareholders of Neuralink were notified of the incorporation change, with their shares in the Delaware corporation now integrated into the Nevada entity, as per a notice reviewed by Bloomberg. However, Neuralink’s lawyer, Philip Mao, declined to comment on the matter.

Neuralink, which recently announced the successful implantation of a device in a human patient, aims to revolutionize technology by enabling individuals with traumatic injuries to control computers using their thoughts alone. Musk envisions a future where Neuralink’s device grants users seamless control over various devices through mental commands.

This isn’t the first time Musk has shifted a company’s incorporation outside of Delaware for legal reasons. Previously, he relocated X’s incorporation from Delaware to Nevada, citing Nevada’s corporate laws providing better protections for executives against investor lawsuits.

While Tesla, headquartered in Austin, remains incorporated in Delaware, Musk has expressed intentions to move its incorporation to Texas, contingent on a shareholder vote. Musk’s legal history in Delaware includes a mixed record, with successes such as the dismissal of an investor lawsuit challenging his acquisition of SolarCity, contrasted with setbacks, including failed attempts to back out of the acquisition of Twitter, formerly known as X. These legal battles have prompted Musk’s recent maneuver to disassociate Neuralink from Delaware’s jurisdiction.
